Acceptance of the Terms of Service for IAA Global Platform
These terms of use are entered into by and between You and the International Advertising Association (“Organization”, also “our,” “we” or “us”). The Organization was incorporated in the state of New York.
The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these “Terms of Service”), govern your access to and use of the IAA Global Website, including any content, functionality and services offered on or through that URL (the “IAA Global Platform”), whether as a guest or a registered user. The IAA Global Platform together with companion mobile apps and their functionalities are sometimes referred to as the “Services.”
By using the IAA Global Platform or by clicking to accept or agree to the Terms of Use, you accept and agree to be bound by these Terms of Use, our IAA Privacy Policy and other agreements and policies referenced on the IAA Global Platform homepage. If you do not agree, you must not access or use the IAA Global Platform.
This platform is offered and available to members of the International Advertising Association who agree to its terms. If you do not agree, you may still enjoy all other features of the Organization’s membership.
Changes to the Terms of Use
We may revise and update these Terms of Use at any time in our sole discretion. All changes are effective immediately when posted. Your continued use of the IAA Global Platform following posting means you accept and agree to the changes. Please check this page frequently.
Accessing the IAA Global Platform and Account Security
We reserve the right to withdraw or alter the IAA Global Platform, and any service or material we provide on or through it, at our sole discretion without notice. We will not be liable if all or any part is unavailable at any time. We may restrict access to some or all areas, including to registered users.
You are responsible for:
- Making all arrangements necessary for you to have access.
- Ensuring that all persons accessing through your connection comply with these Terms.
To access some resources, you may need to provide registration details or other information. It is a condition of your use that all information you provide is correct, current and complete, and governed by our Privacy Policy. You consent to actions we take with your information in line with that policy.
If provided with a username, password or other credentials, you must treat such information as confidential and not disclose it to others. Your account is personal; you must not allow others to access the platform with your credentials. Notify us immediately of any unauthorised access. We may disable credentials at our discretion.
Intellectual Property Rights
The IAA Global Platform and all contents, features and functionality are owned by the Organization, its licensors or providers and are protected by copyright, trademark, patent, trade secret and other intellectual property laws.
You may use the platform for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works, publicly display, perform, republish, download, store or transmit material except:
- Temporary copies in RAM incidental to access.
- Files cached by your browser.
- One copy for personal, non-commercial use.
- As permitted by downloads, apps or social media features provided by us.
Requests for additional use should be sent to dpo@iaaglobal.org. Breach of these terms will terminate your right to use the platform immediately.
Online Membership Directory
The membership directory is for members to contact each other. It may not be reproduced or downloaded. All restrictions in these Terms apply to its use.
Trademarks
The Organization name, logo and related marks are trademarks of the Organization or its affiliates/licensors. You must not use them without prior written permission. Other names and marks are trademarks of their owners.
Prohibited Uses
You may use the IAA Global Platform only for lawful purposes. You agree not to use it:
- In violation of applicable laws or regulations.
- To transmit unauthorised advertising or promotional material.
- To impersonate the Organization, its employees, other users or entities.
- To engage in conduct that restricts or inhibits others’ use or enjoyment.
You must not introduce viruses or harmful material, attempt to gain unauthorised access, attack via denial-of-service, or otherwise interfere with the platform.
User Contributions
The platform may include interactive features where users can post content (“User Contributions”). These must comply with the Content Standards below. User Contributions are non-confidential and non-proprietary. By posting, you grant us and our affiliates the right to use, reproduce, modify, display, distribute and disclose the content.
You warrant you own/control the rights and that your contributions comply with these Terms. You are solely responsible for your contributions.
Monitoring and Enforcement
We may remove or refuse content, disclose identities, take legal action, or suspend access where contributions violate these Terms. We may cooperate with law enforcement. We do not undertake to review all content before posting and assume no liability for user content.
Content Standards
User Contributions must not:
- Contain defamatory, obscene, abusive, hateful or otherwise objectionable material.
- Promote violence, discrimination or illegal activity.
- Infringe intellectual property rights.
- Violate privacy or publicity rights.
- Be misleading, deceptive or impersonate others.
- Cause annoyance or distress, or involve unauthorised commercial activity.
Reliance on Information
The information on the platform is for general purposes only. We disclaim liability for reliance on such materials. Content provided by third parties is solely their responsibility and does not reflect our views.
Changes to the Platform
We may update content but are not obligated to. Material may be out of date at any given time.
Information About You
All information collected is subject to our Privacy Policy. By using the platform, you consent to actions consistent with that policy.
Linking and Social Media Features
You may link to our homepage fairly and legally but not in a way that suggests endorsement. Social media features may be used only as provided. We may withdraw linking permission at any time.
Links from the Platform
Links to third-party sites are provided for convenience. We are not responsible for their content or accuracy.
Disclaimer of Warranties
Your use of the platform is at your own risk. The platform is provided “as is” and “as available” without warranties of any kind. We disclaim all implied warranties including merchantability, non-infringement and fitness for purpose, except where not permitted by law.
Limitation on Liability
We shall not be liable for damages of any kind arising from use of the platform, including direct, indirect, incidental, consequential or punitive damages, except where not permitted by law.
Indemnification
You agree to indemnify and hold harmless the Organization, its affiliates, licensors and service providers from claims, losses or expenses arising from your violation of these Terms or use of the platform.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New York. Legal proceedings shall be instituted exclusively in the courts of New York, though we may bring claims in other jurisdictions.
Arbitration
At our discretion, disputes may be submitted to binding arbitration under the American Arbitration Association applying New York law.
Limitation on Time to File Claims
Any claim must be commenced within one (1) year after the cause of action accrues, otherwise it is permanently barred.
Waiver and Severability
No waiver of any provision shall be deemed a continuing waiver. If any provision is held invalid, the remaining provisions shall continue in full force.
Entire Agreement
These Terms, together with the Privacy Policy and other referenced policies, constitute the entire agreement between you and the Organization.
